General Terms & Conditions of Sale
These General Terms & Conditions of Sale ("Terms") govern all commercial transactions concluded directly with Accessoires Leduc through quotations, order confirmations, purchase orders and invoices.
These Terms apply exclusively to B2B commercial sales invoiced directly by Accessoires Leduc. They do not apply to purchases made through our online shop mercerieleduc.com, which is governed by its own Terms & Conditions of Sale.
1. Company Information
Accessoires Leduc is a Belgian manufacturer, importer and wholesaler of haberdashery, ribbons, webbings, sewing accessories and textile products, serving professional customers throughout Europe and internationally since 1951.

2. Scope of Application
These Terms apply to all quotations, order confirmations, invoices, deliveries and commercial sales made directly by Accessoires Leduc unless otherwise agreed in writing.
The purchaser's own purchasing conditions shall not apply unless expressly accepted in writing by Accessoires Leduc.
3. Quotations
Unless expressly stated otherwise, all quotations are non-binding and remain valid for thirty (30) calendar days.
Prices, availability and delivery schedules remain subject to confirmation.
4. Orders
Orders become binding only after written confirmation by Accessoires Leduc or upon shipment of the goods.
Any modification requested after confirmation may result in revised prices, additional costs or revised delivery schedules.
5. Prices
- All prices are exclusive of VAT unless otherwise specified.
- Transport, insurance and customs duties are excluded unless agreed otherwise.
- Applicable taxes shall be charged according to Belgian legislation.
Accessoires Leduc reserves the right to revise prices before delivery where significant increases occur in raw material costs, transport costs, currency fluctuations or circumstances beyond its reasonable control.
6. Payment
Invoices are payable according to the payment terms stated on the invoice.
Late payment automatically gives rise to statutory interest together with reasonable recovery costs permitted under Belgian law.
Accessoires Leduc reserves the right to suspend deliveries or refuse future orders while outstanding invoices remain unpaid.
7. Delivery
Delivery dates are provided in good faith and remain indicative only.
Delays shall not entitle the purchaser to cancel an order or claim damages, unless expressly agreed otherwise in writing.
Partial deliveries may be made whenever reasonably necessary.
8. Inspection and Claims
The purchaser shall inspect the goods immediately upon receipt.
Visible defects, shortages or transport damage must be notified in writing within five (5) working days following delivery.
No goods may be returned without prior written authorization from Accessoires Leduc.
